Cap table disputes are on the rise, with liquidation preferences and cumulative dividends becoming more common.
Pay-to-play provisions and bridge rounds are leading to higher liquidation preferences, causing dilution for early investors.
Startups are adding more structure to term sheets to protect themselves and attract capital, but this can have negative effects on valuations and team morale.
Internal bridge rounds are seeing increased leverage for VCs, leading to higher liquidation preferences and discounts.
Cost-cutting measures implemented by startups in 2022 may begin to run out, potentially leading to crisis situations in late 2024.
